Terms and Conditions of sale

TERMS AND CONDITIONS 
The following are the Terms and Conditions (“T&C’s") for the sale of products (“Products”) by Dash Electronics, Inc. (“Dash Electronics”) to Dash Electronics' customers (“Customer”). These T&C's supersede all other terms referenced in any purchase order, acknowledgment, confirmation, or any other documentation, unless agreed to in writing and signed by an officer of Dash Electronics. Dash Electronics reserves the right to amend these T&C’s. By accessing and using www.dashelectronics.com or placing an order by phone, email, or other methods, you agree to the terms and conditions outlined herein. 

ORDERS 
Orders are initiated by the Customer via Purchase Order or placing an online order. Orders must specify the product(s), quantities, part number(s), price, and preferred delivery date(s). All Orders are subject to acceptance by Dash Electronics. All orders are considered non-cancelable and non-returnable ("NC/NR") unless agreed to in writing by Dash Electronics. The Customer may not cancel or reschedule orders for any Products without Dash Electronics’ consent. Dash Electronics' minimum order amount is $150.00. 

PRICING AND AVAILABILITY 
Products displayed on the Site or through quote are available while supplies last and prices are subject to change. Prices quoted or listed on our Site are for Products only and exclude any additional fees, including but not limited to shipping, duties, banking, special handling, and customs declarations (collectively, "Additional Fees"). The Customer is responsible for all Additional Fees. 
In some cases, products displayed for sale may be special order, out of stock, backordered or no longer available. All prices are quoted in U.S. Dollars and can only be paid in U.S. Dollars. Dash Electronics shall have the right to refuse or cancel any orders, including orders that have been confirmed and/or your credit card charged. If your credit card has already been charged and your order is cancelled, Dash Electronics shall refund your credit card in the amount charged. 

TERMS OF PAYMENT:  
Net-30 Terms are available upon approval to qualifying U.S. Customers only, with payment due 30 days after Ship Date/Invoice Date.  U.S Customers may also pay via: ACH, COD, Credit Card (“CC”), or PayPal. International Customers may pay by Wire Transfer or PayPal. Any payment-related fees, including but not limited to wire transfer fees, credit card fees, or PayPal fees, are the Customer’s responsibility. All applicable payment processing fees will be disclosed to the Customer prior to payment and may be subject to change at any time. Accepted payment methods may change without notice.  At our sole discretion, Dash Electronics may also change the terms of the Customer’s credit at any time. If Dash Electronics finds reason to believe the Customer's ability to make payment is impaired, it reserves the right to hold, modify, or cancel any open orders. The customer remains responsible for paying for all previous shipments. Overdue amounts may be subject to interest at an annual rate of 15% or the maximum allowed by law, and Dash Electronics will be entitled to reimbursement for all reasonable costs of collection and attorneys’ fees.  

INFORMATION ACCURACY 
Dash Electronics makes every effort to provide up-to-date and accurate information but cannot guarantee the accuracy of the information provided. Product information provided by manufacturers and/or our vendors is subject to change, and therefore all information we offer to the Customer, whether online, over the phone, or by quote, may be updated without prior notice. Prices may change at any time before your order is finalized. If Dash Electronics finds an error in the Product description, availability, or pricing, while your order is pending, we will inform you of the revised details in a timely manner. If an error is found after your order is finalized, we will notify you and you may choose to accept the amended version or cancel the order.  

TITLE AND DELIVERY:  
All orders from Dash Electronics are FOB shipping point. If the Customer does not provide their company’s shipping account number and/or specify their preferred carrier and shipping method, then the carrier and method will be chosen by Dash Electronics, and the associated shipping cost will be the customer’s responsibility. For Net-30 Customers, the shipping cost will be added to the invoice. For prepay customers, the cost of shipping will be due prior to shipment. Unless Dash Electronics specifies otherwise in writing, the Customer is responsible for all costs associated with shipping.  Dash Electronics makes every effort to deliver Products as close as possible to the quoted due date. The Customer acknowledges that shipment and delivery dates provided by Dash Electronics are estimates only and that Dash Electronics will not be liable for failing to meet those dates. Delivery of Products within 30 days of the quoted delivery date will be considered timely. A delivery quantity within ±10% of the ordered amount will constitute full delivery. A delay in one Product shipment does not grant the Customer the right to cancel any other orders or parts thereof. Title to the Products remains with Dash Electronics until full payment is received. The Customer is deemed to have accepted the Products unless Dash Electronics receives written notice of defect within thirty (30) days of delivery. 

NON-CANCELLABLE AND NON-RETURNABLE (“NC/NR”):   
All orders are NC/NR.  

RETURNS: 
Returns are only accepted due to Product defect. Any Product that is determined to be defective may be returned after notifying Dash Electronics in writing during the first 30 days of receipt. Customers must receive an RMA number from Dash Electronics. Product defects that could reasonably go unnoticed for more than 30 days may be returned within a reasonable timeframe, not exceeding 6 months. Dash Electronics will either refund the purchase price or replace the Product, at our discretion. 

LIMITED WARRANTY:  
All Products sold by Dash Electronics are NEW and ORIGINAL and are guaranteed to meet the manufacturer's published specifications. All Products sold come with Dash Electronics’ Certificate of Conformity (“C of C”). When available, manufacturer C of C will be provided, but manufacturer C of C is not guaranteed with every Product.  
 

LIMITATION OF LIABILITIES:  
Dash Electronics shall not be liable for loss of profits, manufacturing expenses, overhead costs, disruption of business operations, loss of contracts, orders, or customers, harm to reputation, or any indirect, incidental, or consequential damages of any kind. The customer's recovery from Dash Electronics for any claim shall not exceed the actual cost the Customer paid for our Products, regardless of the nature of the claim, whether in contract, tort, warranty, or otherwise. 

USE OF PRODUCTS:  
The Customer must adhere to the manufacturer's Product specifications and recommendations. The Products are not approved for any other use, where failure may cause personal injury, loss of life, or significant property damage. 

FORCE MAJEURE: Dash Electronics shall not be liable for any delay or failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, war, terrorism, government actions or regulations, labor disputes, strikes, lockouts, shortages of materials or transportation, power outages, or any other events that are unforeseen and unavoidable. In the event of such a force majeure event, Dash Electronics shall promptly notify the Customer of the occurrence and the estimated impact on its ability to perform. Dash Electronics' time for performance shall be extended for the duration of the force majeure event, or Dash Electronics may, at its discretion, cancel any affected order or part thereof without liability to the Customer. This clause does not excuse the Customer’s payment obligations for Products already delivered prior to the occurrence of the force majeure event. 

RoHS COMPLIANCE AND LEAD-FREE POLICY:  
It is the policy of Dash Electronics to identify and offer Products to the Customer as RoHS Compliant or Lead-Free only after the manufacturer has identified the Product as such. Dash Electronics performs no testing of Products and relies solely on the manufacturer for identification of compliance with RoHS and all other compliance issues. All statements by Dash Electronics regarding RoHS compliance are based on external information. 

EXPORT CONTROLS:  
Dash Electronics is committed to complying with all applicable export control laws and regulations, including those set by the United States and other relevant authorities. We ensure that our Products are not exported, re-exported, or transferred to any prohibited countries, entities, or individuals, and are not used for unauthorized purposes. Customer agrees to comply with all applicable foreign and domestic export laws, and shall not export, transfer, or re-export any Product to any prohibited or embargoed country, or to any denied, blocked, or designated person or entity as mentioned in any such law or regulation. The Customer represents and warrants that it is not on the Denied Persons, Specially Designated Nationals, or Debarred Persons List and is not otherwise prohibited by law from purchasing the Products. Customer shall be responsible for obtaining any required license to export, re-export, or import. 

ETHICAL LABOR:  
Dash Electronics is committed to upholding human rights and fair labor practices, and aligns with internationally recognized frameworks, including the United Nations (UN) Global Compact Principles and the International Labor Organization’s (ILO) Declaration on Fundamental Principles and Rights at Work. 
Dash Electronics prohibits all forms of forced labor, human slavery, child labor, child slavery, and trafficking. Dash Electronics prohibits doing business with any company, contractor, customer, or individual who engages in any unethical labor practices. 

 

CONFLICT MINERALS POLICY:
Dash Electronics is committed to ensuring that the products we sell do not contain conflict minerals sourced from regions associated with human rights abuses. In compliance with applicable laws, we require our suppliers to responsibly source materials, exercise due diligence in their supply chain, and provide transparency regarding the origin of tin, tungsten, tantalum, and gold used in products. Dash Electronics is dedicated to ethical sourcing and promoting human rights in all aspects of our business operations. Dash Electronics is not directly responsible for managing or verifying suppliers' compliance and all information regarding ethical sourcing is based on external information and/or suppliers’ and manufacturers’ statements and policies.
